Duties of Secretary from the Canons

  • 12.5. Secretary. The Secretary shall keep records of all regular and special meetings of the Board of Directors, and forward these records to the members of the Board of Directors, the Priesthood, and the membership. The Secretary shall also notify members of the Priesthood and the Board of Directors of the time, place, and planned agenda of the regular Board of Directors meetings. Notices should be sent at least two weeks prior to each regular meeting, and as early as possible before a special meeting. Notice of the time and place of future meetings shall be published in a general membership publication and/or be posted to the membership via CAW mailing lists. The Secretary, with the consent of the Board of Directors, shall be empowered to appoint an Assistant Secretary or other staff member to assist him/her with her/his responsibilities.
  • 12.5.1. Official Documents. The Secretary shall certify and keep at the principal office of the Corporation the originals of, or copies of, the Articles of Incorporation as amended or otherwise altered to date, and Canon Law as amended or otherwise altered to date.
  • 12.5.1.1. Right of Members to Documents. The Secretary shall prepare and distribute to any interested active members, upon their request, the Articles of Incorporation as amended or otherwise altered to date, and Canon Law as amended or otherwise altered to date.
  • 12.5.1.2. Minutes. The Secretary shall keep at the principal office of the Corporation, or at such other place as the Board may determine, a record of all minutes of all meetings of the Board of Directors, and meetings of committees of Directors and of members, recording therein the time and place of holding, whether regular or special, how called, how notice thereof was given, the names of those present or represented at the meeting, and the proceedings thereof.
  • 12.5.1.3. Notetaker. Within the consensus process, the Secretary or his/her appointee shall be considered to hold the role of Notetaker for Board of Directors meetings.
  • 12.5.1.4. Members Right to Minutes. The Secretary shall prepare and distribute to any interested active members minutes of the meetings of the Board of Directors.
  • 12.5.1.5. Members Right to Privacy. The Secretary shall ensure that any distributed copies of the minutes use only the magickal names of participants, except where otherwise required by law.
  • 12.5.2. Notices. The Secretary shall see that all notices are duly given in accordance with the provisions of these Canons or as required by law.
  • 12.5.3. Records & Seal. The Secretary shall be custodian of the records and of the seal of the Corporation and affix the seal, as authorized by law or the provisions of these Canons, to duly executed documents of the Corporation.
  • 12.5.4. Membership Records. The Secretary shall keep at the principal office of the Corporation a record of the members containing the legal name and address of each and any members, and, in the case where any membership has been terminated, he or she shall record such fact in the membership database together with the date on which such membership ceased.
  • 12.5.5. Statutory Requirements. The Secretary shall be knowledgeable about statutory requirements for Corporations in the state of Incorporation. The Secretary shall file in a timely manner all required forms and reports, including statutory agent to the pertinent departments of the state of Incorporation,
